Information regarding the compensation of BOURBON executive directors, published under the AFEP-MEDEF corporate governance code of June 2013

Upon the proposal of the Nomination, Compensation, and Corporate Governance Committee, the Board which met on December 1, 2014:
- decided to pay Nicolas Malgrain, following his appointment to the Executive Committee as Executive Vice President - Strategy, Finance, and Administration:
- fixed compensation of € 220,000 starting December 1, 2014
- variable compensation is capped at 70% the fixed compensation, based on the following performance criteria: safety objectives, economic performance objectives, and personal objectives, starting in FY2015
- decided it was desirable to have Laurent Renard, outgoing Executive Vice President - Finance and Administration to sign a non-compete agreement on the occasion of his retirement, in order to protect the interests of Bourbon SA and the affiliates constituting the group that it leads. This non-compete commitment will be entered into by Laurent Renard for a period of three years in exchange for an amount of € 300,000, effective January 1, 2015, with three equal payments to be made no later than January 31, 2016, January 31, 2017, and January 31, 2018.
